What happened (CCI approval of a healthcare business combination)
The Competition Commission of India (CCI) approved Kids Clinic India Ltd (KCIL) acquiring equity in Apollo healthcare entities and related transactions. The CCI approval covers the full multi-step set described as the Proposed Combination.
Under the Proposed Combination, CCI approved these steps: KCIL acquisition of up to 100% equity in Apollo Fertility Centre Pvt. Ltd (AFCPL); KCIL acquisition of 100% equity in Apollo Specialty Hospitals Pvt. Ltd (ASHPL); KCIL issuance of equity shares and optionally convertible debentures to Apollo Health and Lifestyle Limited (AHLL) as part consideration for the AFCPL and ASHPL acquisitions, representing 9.9% shareholding in KCIL on a fully diluted basis; and KCIL issuance of equity shareholding to Arvon Investments Pte. Ltd (Arvon).
